Terms of Service

Terms of Service of the Uplink service and our Privacy Policy.

Valid and effective from 23 September 2026

1. Service operator

1.1

The Uplink service and the uplink.name website are operated by Uplink.name (the “Provider”).

1.2

The Provider can be contacted by email at info@uplink.name.

1.3

Compliance with consumer protection obligations is supervised by the Czech Trade Inspection Authority (coi.gov.cz); the protection of personal data is supervised by the Office for Personal Data Protection (uoou.gov.cz).

2. Introductory provisions and definitions

2.1

These Terms of Service (the “Terms”) govern, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code (the “Civil Code”), the mutual rights and obligations of the Provider and the customer arising in connection with the contract for the provision of the Uplink service (the “Contract”) concluded via the uplink.name website.

2.2

The “Service” means the Uplink online service for monitoring the availability of websites, servers, APIs, SSL certificates and domains, sending alerts and operating public status pages, provided through a web application and an API.

2.3

The “Customer” is any natural or legal person who concludes the Contract with the Provider. A “Consumer” is a Customer who is a natural person concluding the Contract outside the scope of their business or independent professional activity. Provisions of these Terms expressly intended for Consumers do not apply to Customers who are not Consumers.

2.4

Provisions deviating from these Terms may be agreed in a written contract. Such deviating provisions take precedence over these Terms.

2.5

The Contract may be concluded in Czech or English. These Terms are drawn up in Czech with an English translation; in the event of any discrepancy between the language versions, the Czech version prevails.

3. Conclusion of the Contract and user account

3.1

The presentation of the Service and the price list on the website are for information purposes only and do not constitute an offer by the Provider to conclude a contract.

3.2

An offer to conclude the Contract (an order) is made by submitting the completed sign-up form, in which the Customer states their name, email address and the selected subscription period. Before submitting the form, the Customer may review and correct the details entered.

3.3

The Contract is concluded when the Provider delivers to the Customer an email containing the login details for the Service (acceptance of the order). Together with that email, or without undue delay thereafter, the Provider sends the Customer a confirmation of the Contract including these Terms as valid on the date the Contract was concluded. The Provider may reject an order, in particular if the Customer has previously materially breached a contract with the Provider.

3.4

The Contract is concluded by means of distance communication. The costs of using such means (in particular internet access) are borne by the Customer. The concluded Contract is archived by the Provider in electronic form and is not accessible to third parties.

3.5

The Customer must provide true and complete information and update it without undue delay if it changes. The Customer must protect their account login details against misuse. The Customer is responsible for all activity carried out through their account, including the activity of team members to whom the Customer has granted access.

4. Scope and parameters of the Service

4.1

The Provider offers a single plan with the same parameters for all subscription periods. The Service includes:

  • up to 50 monitors,
  • checks at intervals from 30 seconds, which the Customer may extend for individual monitors up to 60 minutes,
  • availability checks from multiple locations within the European Union,
  • HTTP(S), keyword, ping, TCP port and DNS record checks,
  • SSL certificate and domain registration expiry monitoring,
  • heartbeat monitoring of scheduled jobs,
  • unlimited email alerts and alerts via SMS, Slack, Microsoft Teams, Discord, Telegram, push notifications and webhooks,
  • public status pages, including on the Customer’s own domain,
  • check history and reports for the last 12 months,
  • access for up to 5 team members,
  • REST API and webhooks.
4.2

The Service detects and reports the status of monitored systems. It does not remove the causes of their outages, does not replace the backup or security of the Customer’s systems and does not guarantee their availability.

4.3

Delivery of alerts through third-party channels (mobile operators, Slack, Microsoft Teams, Discord, Telegram, push notification providers and webhook target servers) depends on the availability of those services. The Provider is not liable for delays or non-delivery of alerts caused by a third party.

4.4

The Provider uses professional care to keep the Service available at all times. Scheduled maintenance is usually carried out during periods of low traffic and announced sufficiently in advance by email or in the application.

4.5

The Provider may develop and modify the Service. During a paid subscription period, however, it may not reduce the agreed parameters of the Service to the Customer’s detriment.

5. Price and payment terms

5.1

The price of the Service is governed by the price list published on the website at the time the order is submitted. As of the effective date of these Terms, the price is:

  • 1-month subscription: CZK 159,
  • 1-year subscription: CZK 1,599,
  • 3-year subscription: CZK 2,799.
5.2

The prices stated are final and include VAT at the statutory rate of 21%. The Provider charges no setup fee and no other fees beyond the subscription price.

5.3

The price is paid in advance for the entire selected subscription period on the basis of a proforma invoice sent by the Provider to the Customer’s email address. The Customer pays it by bank transfer to the account stated on the invoice, or by another payment method offered by the Provider on the invoice, within the due date stated on the invoice. The price is deemed paid when the payment is credited to the Provider’s account. The Provider may make the Service available only after the price has been paid.

5.4

After receiving the payment, the Provider issues a tax document and sends it to the Customer electronically.

5.5

The subscription price does not change during a paid period. When switching to a longer subscription period, the Provider credits the unused part of the price of the current subscription.

5.6

The Provider will notify the Customer by email of any price change for subsequent subscription periods at least 30 days before the end of the paid period. A price change does not affect the price of a period that has already been paid.

6. Term and termination of the Contract

6.1

The Contract is concluded for a fixed term corresponding to the selected subscription period (1 month, 1 year or 3 years). The subscription period starts on the day the Service is made available.

6.2

Before the end of the subscription period, the Provider sends the Customer by email a proforma invoice for another period of the same length. If the Customer pays it no later than the end of the paid period, the Contract is extended by that period. If the Customer does not pay it, the Contract terminates when the paid period expires. The Contract is never extended automatically without payment.

6.3

The Customer may terminate the Contract at any time by notice sent by email to info@uplink.name; in that case the Contract terminates when the paid period expires. This does not affect the Consumer’s right to withdraw from the Contract under Article 10 or the rights arising from defective performance under Article 9.

6.4

The Provider may terminate the Contract without stating a reason with a notice period of two months, starting on the day the notice is delivered to the Customer. The Provider will refund the price paid for the period after the termination of the Contract within 14 days of its termination.

6.5

The Provider may withdraw from the Contract if the Customer materially breaches its obligations under Article 7 and fails to remedy the breach within a reasonable period stated in a notice sent by email. No notice is required if the breach cannot be remedied or if it involves an attack on third-party systems or other unlawful conduct.

6.6

After the Contract terminates, the Provider retains the account data (monitor settings, history and reports) for 30 days. During that time the Customer may renew the Service or request an export of their data by email. After that period the Provider deletes the data, except for data it is required to retain by law.

7. Acceptable use

7.1

The Customer may use the Service to monitor only systems that the Customer operates or for which it has the consent of their operator.

7.2

In particular, the Customer must not use the Service:

  • for load testing, DoS attacks, vulnerability scanning or any other interference with third-party systems,
  • to configure checks in a way that places an unreasonable load on the monitored systems or on the Provider’s infrastructure,
  • to send unsolicited messages or for any purpose other than reporting the status of monitored systems, in particular in the case of SMS alerts,
  • to publish content on public status pages that is unlawful or infringes the rights of third parties,
  • to circumvent the technical limits of the Service or to give access to the account to persons other than the Customer’s team members.
7.3

The Customer must use the API at a reasonable request rate. The Provider may temporarily limit requests that threaten the stability of the Service.

7.4

If the Customer breaches its obligations under this Article, the Provider may, after prior notice to the Customer, restrict or suspend the Service to the extent necessary to remedy the breach. It may do so without prior notice if there is an imminent risk of harm to the Provider, other customers or third parties; the Provider will inform the Customer of such a measure without delay.

7.5

The Customer is responsible for the content it publishes on status pages and for being entitled to use the domains and marks (such as logos) it uses in the Service.

8. Liability

8.1

The Provider is not liable for outages, data loss or other harm occurring in the Customer’s systems; the Service merely informs the Customer about such events. Nor is the Provider liable for harm caused by incorrect configuration of the Service by the Customer, by outages of third-party services under paragraph 4.3 or by circumstances excluding liability for damage.

8.2

Towards a Customer who is not a Consumer, the Provider’s total liability for damage is limited to the amount the Customer paid the Provider for the Service in the 12 months preceding the occurrence of the damage; the Provider does not compensate lost profits. This limitation does not apply to harm caused intentionally or through gross negligence, or to harm to the natural rights of a person.

8.3

Towards a Consumer, the Provider’s liability for harm is governed by law; the limitation under paragraph 8.2 does not apply to Consumers.

9. Defects of the Service and complaints

9.1

The Provider is responsible to the Customer for ensuring that, throughout the term of the Contract, the Service complies with the Contract and the law, in particular that it has the features and parameters set out in Article 4.

9.2

The Customer submits a complaint about a defect of the Service by email to info@uplink.name, stating a description of the defect and the email address of their account. The Provider confirms to the Customer when the complaint was received and handles it without undue delay, no later than 30 days from the day it was submitted. The Provider issues the Customer a confirmation stating the date and method of handling the complaint or, where applicable, the reasons for its rejection.

9.3

If the Service has a defect, the Customer is entitled to have it remedied. If the defect cannot be remedied, if the Provider does not remedy it within a reasonable time or without significant inconvenience to the Customer, or if the defect is material, the Customer is entitled to a reasonable price reduction for the duration of the defect or, unless the defect is minor, to withdraw from the Contract. This does not limit the rights of Consumers under the law.

9.4

Unavailability or malfunction caused by the Customer, by third parties under paragraph 4.3 or by scheduled maintenance announced under paragraph 4.4 is not considered a defect of the Service.

10. Withdrawal from the Contract by a Consumer

10.1

A Consumer has the right to withdraw from the Contract without giving any reason within 14 days of the day the Contract was concluded.

10.2

The withdrawal must be communicated to the Provider by an unequivocal statement, in particular by email to info@uplink.name. The Consumer may use the model withdrawal form attached to these Terms, but is not obliged to do so. The deadline is met if the Consumer sends the withdrawal notice before the withdrawal period expires.

10.3

The Provider will refund to the Consumer all payments received from the Consumer under the Contract without undue delay and no later than 14 days from the day the withdrawal notice was delivered to the Provider, using the same means of payment as the Consumer used, unless agreed otherwise. The Consumer will not incur any fees as a result of such refund.

10.4

If the Consumer has expressly requested that the provision of the Service begin during the withdrawal period, the Consumer shall pay the Provider a proportionate part of the agreed price for the performance provided up to the moment of withdrawal. The Provider will deduct this amount from the refund.

10.5

A Customer who is not a Consumer does not have the right to withdraw from the Contract under this Article.

11. Privacy Policy

11.1

The controller of personal data is the Provider, Uplink.name. In matters of personal data protection, the Provider can be contacted by email at info@uplink.name. The Provider processes personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (the “GDPR”) and Czech Act No. 110/2019 Coll., on the Processing of Personal Data.

11.2

The Provider processes the following categories of personal data:

  • sign-up data: first and last name, company or project name, email address, selected subscription, expected number of monitored services and form language,
  • technical data on the submission of the sign-up form: IP address, date and time of submission and browser identification,
  • billing data: name or company name, address, company ID, VAT ID and payment details,
  • Service usage data: login details, monitor settings, alert contacts (email addresses, phone numbers for SMS, webhook and integration addresses) and data on team members,
  • the content of communication with the Customer, in particular with customer support.
11.3

Personal data are processed for the following purposes and on the following legal bases:

  • conclusion and performance of the Contract, including account setup, provision of the Service and customer support – Article 6(1)(b) GDPR,
  • compliance with legal obligations, in particular accounting and tax obligations – Article 6(1)(c) GDPR,
  • the Provider’s legitimate interest in securing the Service, protecting it against misuse and establishing, exercising and defending legal claims – Article 6(1)(f) GDPR.
11.4

Providing the personal data listed in paragraph 11.2 is a contractual requirement; without them the Contract cannot be concluded and the Service cannot be provided. The Provider does not carry out automated decision-making or profiling.

11.5

Personal data are retained for the following periods:

  • account data for the term of the Contract and 30 days after its termination (paragraph 6.6),
  • accounting and tax documents for the period required by the Czech Accounting Act and the Czech VAT Act, at most 10 years from the end of the tax period in which the supply took place,
  • data from a sign-up that did not result in a Contract for no more than 6 months from its submission,
  • data processed on the basis of legitimate interest for as long as necessary to fulfil the purpose and, in the event of a dispute, until its final resolution.
11.6

Personal data are processed on behalf of the Provider only by processors who provide sufficient guarantees of their protection, in particular providers of server infrastructure, email delivery services and SMS gateways, and external accountants and tax advisers. Data are disclosed to public authorities only where required by law. The Provider does not sell personal data or disclose them to third parties for their marketing purposes.

11.7

The Provider stores personal data exclusively on servers within the European Union. If the Customer enables alerts via third-party services (such as Slack, Microsoft Teams, Discord, Telegram or push notifications), the Provider transmits the content of the alerts to those services on the Customer’s instructions. Their operators may process the data outside the European Union under their own terms.

11.8

Where the Customer enters personal data of third parties into the Service (in particular data on team members and alert contacts), the Customer acts as the controller of such data and the Provider as its processor within the meaning of Article 28 GDPR. In that case the Provider undertakes to:

  • process such data only for the purpose of providing the Service and on the documented instructions of the Customer, which consist of the Contract and the Service settings made by the Customer,
  • ensure that persons authorised to process such data have committed themselves to confidentiality,
  • implement appropriate technical and organisational measures under Article 32 GDPR,
  • engage other processors only on the basis of this general authorisation, impose the same obligations on them and inform the Customer in advance of any intended changes so that the Customer can object to them,
  • notify the Customer without undue delay of any personal data breach and assist the Customer in responding to data subject requests and in fulfilling its obligations under Articles 32 to 36 GDPR,
  • delete such data after the end of the provision of the Service in accordance with paragraph 6.6, unless further retention is required by law,
  • make available to the Customer the information necessary to demonstrate compliance with these obligations and allow for audits conducted by the Customer or an auditor mandated by the Customer.
11.9

Data subjects have the right of access to their personal data, the right to rectification, erasure and restriction of processing, the right to data portability and the right to object to processing based on legitimate interest. Requests can be sent by email to info@uplink.name; the Provider will handle them without undue delay and no later than one month of receipt. Data subjects also have the right to lodge a complaint with the Office for Personal Data Protection, Pplk. Sochora 727/27, Holešovice, 170 00 Prague 7, Czech Republic, uoou.gov.cz.

11.10

The uplink.name website does not use analytics or marketing cookies or any visitor tracking tools. The Service’s web application uses only cookies strictly necessary for signing in and securing the session, which do not require consent.

12. Complaints and out-of-court dispute resolution

12.1

Complaints are handled by the Provider via the email address info@uplink.name. The Provider informs the Customer of the outcome by email.

12.2

The body competent for out-of-court resolution of consumer disputes arising from the Contract is the Czech Trade Inspection Authority (Česká obchodní inspekce), Gorazdova 1969/24, Nové Město, 120 00 Prague 2, Czech Republic, company ID 00020869, coi.gov.cz/informace-o-adr. A Consumer may file a proposal to initiate out-of-court dispute resolution no later than one year from the day the Consumer first exercised the right in dispute with the Provider.

12.3

This does not affect the right to bring the matter before a court.

13. Changes to the Terms

13.1

The Provider may amend these Terms to a reasonable extent in accordance with Section 1752 of the Civil Code, in particular due to changes in legislation, the development of the Service, for security reasons or due to changes in the terms of its suppliers.

13.2

The Provider will notify the Customer of any change to the Terms by email at least 30 days before it takes effect. The Customer has the right to reject the change and terminate the Contract for that reason; in that case the Contract terminates no later than on the day preceding the effective date of the change. The Provider will refund the Customer a proportionate part of the price for the unused subscription period within 14 days of the termination of the Contract.

13.3

A change to the Terms does not affect the price of a subscription period that has already been paid.

14. Final provisions

14.1

Legal relations between the Provider and the Customer are governed by the laws of the Czech Republic, in particular the Civil Code and Act No. 634/1992 Coll., on Consumer Protection. This choice of law does not deprive a Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence.

14.2

If any provision of these Terms is invalid or ineffective, the remaining provisions remain unaffected. Such a provision is replaced by the provision whose meaning comes closest to it.

14.3

These Terms take effect on 23 September 2026.
